Secretary

The board of directors will appoint a secretary who is not a director.

The secretary will work under the authority of the chairman of the board of directors, he will see to the correct application of this charter, in particular insofar as the rules concerning the operation of the board of directors are concerned.

Following mutual consultation with the chairman of the board of directors he will draw up the minutes summarizing the meetings of the board of directors and the audit, good governance and risk management committee. The minutes reflect the resolutions passed by these bodies. These minutes will be presented for approval to both the board of directors and the audit, good governance and risk management committee.
